1. SCOPE OF SERVICES
Nicolas John Landscapes agrees to provide the following Garden Care Program services to the Client's property at 2 Station Place, Malvern VIC 3144, on a weekly basis in accordance with the terms of this agreement:

Weekly Presentation CareGarden bed maintenance, pruning & detailing; weed control; lawn mowing, edging & verge maintenance; blow down of all hard surfaces
Balcony & Planter ManagementMaintenance of all pots and raised planters; manual watering of non-irrigated pots; soil moisture and plant condition monitoring; grooming for presentation
Irrigation ManagementMonthly full system testing; controller checks and seasonal adjustments; zone-by-zone inspection; leak and blockage identification; minor adjustments included. Major repairs: fee for service @ $95/hr (min. 1.5hrs)
Plant Health MonitoringOngoing plant health inspections; early detection of pests and disease; minor treatments where required; reporting and recommendations
Site Presentation & CleanlinessGreen waste removal and disposal; clean paths, entries, and common areas; attention to detail across entire site
Additional Services (Quoted Separately)
The following services are excluded from the fixed program rate and will be quoted separately upon request: plant supply and replacement; mulch installation or top-ups; major irrigation repairs or upgrades (fee for service @ $95/hr, min. 1.5hrs); specialist pest and disease treatments; access equipment (if required); landscape design or redesign works; hardscape repairs or installation.

3. TERMS & CONDITIONS
3.1 Agreement Term
This agreement constitutes a legally binding Service Agreement upon execution by both parties. A minimum initial term of three (3) months applies from the commencement date. Following the initial term, the agreement continues on a rolling monthly basis. Either party may terminate the agreement with thirty (30) days written notice.
3.2 Cancellation & Service Protection
NJ Landscapes invests significant resources in onboarding each program client. No cancellation is accepted within the first three (3) months; cancellation during this period incurs a fee equal to the remaining invoiced weeks. Following the minimum term, 30 days written notice is required. NJ Landscapes may terminate immediately for non-payment of two or more consecutive invoices, unsafe conduct toward staff, repeated denial of site access, or material breach of these terms. Re-engagement within 12 months of cancellation incurs a re-onboarding fee of $250 + GST. No partial refunds will be issued for unused days within a prepaid invoicing period.
3.3 Payment Terms
Services are invoiced monthly in advance on the first business day of each calendar month. Payment is due within twenty-eight (28) days of the invoice date. Overdue accounts incur a late payment fee of 2% per month on the outstanding balance. NJ Landscapes reserves the right to suspend services where accounts remain unpaid beyond 30 days. All invoices are in AUD and include GST, itemised separately on each tax invoice.
3.4 Annual Price Adjustment (CPI)
Program pricing is fixed for the initial 12-month period. Thereafter, rates may be adjusted annually in line with the Melbourne CPI as published by the ABS. Any adjustment will be communicated in writing a minimum of 30 days prior to taking effect and will not exceed the annual CPI movement.
3.5 Scope of Works
Services are limited to those described in this agreement. Any works outside agreed scope will be assessed, quoted, and authorised in writing before commencement.
3.6 Service Scheduling & Variations
Weekly services are performed on an agreed scheduled day. NJ Landscapes may reschedule visits affected by severe weather, public holidays, or circumstances beyond our control. Visits forfeited due to client access restrictions will not be credited.
3.7 Access & Site Conditions
The client is responsible for ensuring safe, unobstructed access on each scheduled service day, including gate codes, key access, and parking. Changes to access arrangements require a minimum of 48 hours notice.
3.8 Plant Health & Professional Liability
NJ Landscapes applies industry-standard horticultural practices. Plant health outcomes may be influenced by factors outside our control including weather, soil conditions, pre-existing disease, irrigation failure, or third-party actions. Our liability in all circumstances is limited to the value of services rendered in the preceding one (1) month.
3.9 Insurance
NJ Landscapes holds public liability insurance of $20,000,000 per occurrence and workers compensation insurance for all employees in accordance with Victorian legislation. Certificates of currency are available upon request.
3.10 Dispute Resolution
Disputes shall first be resolved through direct negotiation. If unresolved within 14 days, either party may refer the matter to mediation, and thereafter to VCAT or a court of competent jurisdiction in Victoria. This agreement is governed by the laws of Victoria, Australia.
4. EXECUTION
By signing below, both parties confirm they have read, understood, and agree to be bound by the terms of this Service Agreement. This agreement is effective from the commencement date agreed upon by both parties.
